ProBuild Holdings Divestiture Realigns Strategic Focus

Denver, CO (April 24, 2007)  ProBuild Holdings Inc., the nation’s largest building materials dealer, announced today the sale of 10 United Building Center locations in central and southeast Texas to Port Arthur-based Parker Lumber.  Purchase price and terms of the agreement have not been disclosed.  These facilities were among 13 purchased from Scott Parker in 2005.

“While our people in these locations have performed well over the past couple of years, these markets don’t fit into our core strategy of serving the larger, faster growing areas in Texas,” explained ProBuild Chief Executive Officer Paul Hylbert.  “We are keeping our two locations serving the greater San Antonio market, as well as the one serving the Texas Hill Country from Fredericksburg, all of which fit well with our 23 ProBuild South locations serving major Texas markets from Dallas and Austin south to Houston, Corpus Christi, and the Rio Grande Valley.”

The UBC locations sold will be renamed Parker Lumber immediately after closing.  In addition, UBC employees will be retained by Parker Lumber to continue operation of the10 facilities.

“I missed being in this business and am very pleased to be back working with so many of my former associates. We have a proven formula for combining consumer and builder business in local markets and are looking forward to growing these businesses in the future,” said Scott Parker, chief executive officer of Parker Lumber.  “I am pleased to have worked out a mutually beneficial deal for Parker, our people, and ProBuild.”
